These Terms and Conditions apply to the website https://qss.in/ and to online payment transactions, inquiries and services provided by Quintessential Software Solutions Pvt Ltd, also referred to as QSS, we, us or our. QSS provides enterprise software development, AI automation, ERP/CRM and custom platform development, managed infrastructure, database services, support services and QSSMail/domain email services.

2. Acceptance of terms
By using this website, requesting a quote, placing an order, approving a proposal, using QSS services or making an online payment to QSS, you agree to these Terms and Conditions, the applicable proposal, invoice, statement of work, service agreement or subscription terms. If a signed agreement or written proposal conflicts with these website terms, the signed agreement or accepted proposal will prevail for that specific engagement.
3. Services and products
QSS offerings may include custom software development, enterprise application development, AI-enabled workflow automation, database work, managed hosting and infrastructure support, technical consulting, QSSMail/domain email services and related support. The scope, deliverables, timelines, assumptions, dependencies and commercials for custom work are defined in the applicable proposal, invoice, service agreement or statement of work.
QSSMail and other subscription or managed services may be provisioned only after domain, account, DNS, compliance, payment and onboarding requirements are completed.
4. Pricing, taxes and invoices
Prices displayed on this website are indicative unless expressly stated as final. QSSMail prices are generally listed per account per year, and storage, add-ons, migration, support, taxes and custom requirements may be charged separately. Enterprise software, AI automation, managed infrastructure and custom platform work are quoted based on scope, complexity, team effort, timeline and support needs.
All prices are subject to applicable taxes, duties, levies or government charges. Final pricing, billing milestones, taxes, payment terms and validity of quotations will be specified in the invoice, proposal or commercial agreement.
5. Online payments
QSS may accept online payments through Razorpay or another authorised payment service provider. By making a payment, you confirm that you are authorised to use the selected payment method and that the payment information provided is accurate. Payment confirmation may be subject to approval by the payment gateway, bank, card network, UPI provider, wallet provider or other payment participant.
A successful payment does not automatically expand the agreed scope of work. It records payment against the relevant invoice, order, subscription, renewal, milestone, advance, support service or other approved commercial item.
6. Service delivery and shipping policy
QSS primarily provides digital software, online services, support services, subscriptions, consulting and managed technology services. No physical shipping is involved unless a specific written agreement states otherwise.
Digital delivery may take place through account provisioning, remote configuration, email communication, secure file transfer, repository access, deployment to a server or cloud environment, support ticket updates, online meetings or other mutually agreed electronic channels. Delivery timelines depend on the selected service, payment confirmation, domain/DNS readiness, customer inputs, access credentials, third-party approvals and project dependencies.
For QSSMail or similar subscription services, provisioning normally begins after payment confirmation and receipt of required domain/account details. For custom software and AI automation work, delivery follows the milestones and acceptance process in the approved proposal or statement of work.
7. Customer responsibilities
You agree to provide accurate business, billing, tax, technical and contact information. You are responsible for timely approvals, content, domain access, hosting access, API credentials, test data, third-party licences, compliance permissions and any other dependencies required to deliver the agreed work. Delays in customer inputs may affect delivery timelines and may require revised estimates or commercials.
You must not use QSS services for unlawful, harmful, abusive, fraudulent, infringing, spam-related, malware-related or unauthorised activities.
8. Cancellation policy
Cancellation requests must be submitted through the QSS contact form or other written channel accepted by QSS. Cancellation eligibility depends on the service type, work stage and applicable commercial agreement.
For custom software, consulting, AI automation, data, infrastructure or project-based work, any advance, discovery fee, setup fee or milestone payment may be non-refundable once planning, design, development, provisioning, consultation, deployment, support or other work has started. If a project is cancelled before work begins, QSS may refund the eligible amount after deducting payment gateway charges, taxes where applicable, third-party costs and administrative costs.
For QSSMail, hosting, domain email, managed infrastructure or subscription services, cancellation after provisioning or renewal may not result in a refund for the active billing period unless expressly agreed in writing or required by law. Domain, licence, cloud, payment gateway, third-party software and external service charges are generally non-refundable once purchased or provisioned.
9. Refund policy
Refunds, where applicable, are assessed case by case based on the invoice, service status, payment status, work completed, third-party costs and written agreement. Refunds may be considered for duplicate payments, excess payments, failed provisioning attributable to QSS, or cancellation before work has started.
Approved refunds will normally be initiated to the original payment method within 7 to 10 working days after approval, subject to payment gateway, bank and settlement timelines. The actual credit date may depend on Razorpay, the issuing bank, UPI provider, card network or other payment participant. Payment gateway charges, taxes, third-party fees, completed work, setup work and administrative costs may be deducted where applicable.
No refund is guaranteed for completed services, consumed subscription periods, activated licences, domain or DNS work, cloud resources, third-party purchases, consulting sessions already delivered, support already used, accepted milestones or delays caused by missing customer inputs.
10. Support and maintenance
Support, maintenance, uptime commitments, response times, backups, monitoring and managed-service responsibilities apply only when included in the relevant proposal, support plan, invoice or service agreement. Unless expressly agreed, custom development fees do not include indefinite support, new feature development, third-party subscription charges or infrastructure costs.
11. Intellectual property
Pre-existing QSS tools, frameworks, libraries, templates, know-how, methods and internal components remain the property of QSS or its licensors. Customer-specific deliverables, source code rights, licence rights and usage rights are governed by the applicable proposal or written agreement and are subject to full payment of all dues.
You must not copy, resell, reverse engineer, misuse or distribute QSS software, documents, designs, proposals or service materials except as permitted in writing.
12. Confidentiality and data
Both parties should treat non-public business, technical, financial, customer and project information as confidential. QSS handles personal and business information according to the Privacy Policy and the relevant service agreement.
13. Third-party services
Projects may depend on third-party services such as payment gateways, cloud providers, domain registrars, email services, APIs, libraries, AI models, databases, software licences or customer-selected platforms. QSS is not responsible for downtime, price changes, policy changes, API changes, account suspension, rejection, data loss or service limitations caused by third-party providers unless expressly agreed in writing.
14. Limitation of liability
To the maximum extent permitted by law, QSS will not be liable for indirect, incidental, consequential, punitive or special damages, loss of profit, loss of revenue, loss of data, business interruption or loss arising from third-party services, customer delays, unauthorised access, misuse, force majeure events or internet/payment network failures. QSS's aggregate liability for a paid service will not exceed the amount paid by the customer to QSS for the specific disputed service during the three months preceding the claim, unless a written agreement states otherwise.
15. Force majeure
QSS will not be responsible for delay or failure caused by events beyond reasonable control, including natural disasters, power failures, internet outages, cyber incidents, strikes, government action, payment network disruption, banking failures, war, public health emergencies, cloud provider outages or third-party platform failures.
16. Governing law and disputes
These Terms and Conditions are governed by the laws of India. Subject to any mandatory legal requirement, courts and competent forums in Kolkata, West Bengal, India will have jurisdiction over disputes relating to this website, payments or QSS services.
17. Changes to terms
QSS may update these Terms and Conditions from time to time. The updated version will be posted on this page with the latest revision date. Continued use of the website or services after an update indicates acceptance of the revised terms, to the extent permitted by law.
